Automatic Renewal Agreement

• 1. Acceptance and Modification of Terms of Service
• 1.1 This agreement is an agreement between AIDOVID members (hereinafter referred to as "members") and Shenzhen YUDO SMART Technology Co.,LTD. (hereinafter referred to as "Yudo Smart") regarding the use of the automatic renewal entrusted payment service provided by AIDOVID (hereinafter referred to as "the Service"). This agreement describes the rights and obligations between Yudo Smart and members regarding the use of the Service. "Member" refers to a natural person who has completed all procedures to become a member of Yudo Smart cloud service and uses the member services provided by Yudo Smart in compliance with relevant rules. This agreement constitutes a prerequisite for members to use the services provided by Yudo Smart. Yudo Smart has highlighted in bold or in other reasonable ways to prompt members to carefully read the relevant exemption or limitation of liability clauses in the agreement. Both parties confirm that the aforementioned clauses do not fall under the provisions of Article 40 of the Contract Law, "exempting one's own liability, increasing the other party's liability, excluding the other party's main rights." Both the user and Yudo Smart acknowledge the legality and effectiveness of these clauses. Unless a member accepts the terms of this agreement, the member has no right to use the Service, and the act of choosing to use the Service will be deemed as agreeing to be restricted by all the terms of this agreement.
• 1.2 Yudo Smart reserves the right to modify the terms of service at any time. Once the terms of service are changed and modified, Jado Smart will make an announcement on the relevant page, and the modified content will take effect and be implemented 10 days after the announcement date. If a member does not agree to any modification of this agreement, they can cancel the automatic renewal function. If a member continues to use the service, it will be deemed that the member has accepted all modifications to this agreement.
• 1.3 Members must have the corresponding legal capacity and behavioral capacity when using this service, and be able to independently bear legal responsibilities. If a member is under 18 years old, they must use the service under the supervision of their parents or other guardians, and their use of it is deemed to have obtained the consent of their parents or other guardians.
• 2. Service Description
• 2.1 This service is launched to meet the needs of members for automatic renewal. Under the premise that the member has already activated this service, it aims to prevent members from incurring losses due to negligence or other reasons for failing to renew in a timely manner. Members authorize Yudo Smart to deduct the fees for the next billing cycle when the member's validity period is about to expire, from one of the following means: the balance of the member's own recharge account, third-party payment account linked to the member's account, bank account, communication account (hereinafter referred to as "account"). The billing cycle includes but is not limited to monthly, quarterly, and yearly cycles (the same below), and members can choose the billing cycle displayed on the Yudo Smart platform. The premise for this service to work is that the member has linked their Yudo Smart member account with the aforementioned account and can successfully deduct funds from the account.
• 2.2 Automatic renewal specifically refers to the method in which Yudo Smart collects the fees for the next billing cycle from the member through the above-mentioned account, based on the premise of 2.1. Members must ensure that Yudo Smart can successfully deduct funds from the above account. If the renewal fails due to insufficient funds in the account for deduction, the member will be responsible, and Yudo Smart has the right to interrupt/terminate the corresponding member service.
• 2.3 By choosing to activate automatic renewal, members agree to authorize Yudo Smart to issue deduction instructions to the account and agree that the account can deduct the fees for the next billing cycle based on the deduction instructions issued by Yudo Smart, without verifying the member's account password, payment password, SMS verification code, etc. Unless the member explicitly cancels automatic renewal, the member's irrevocable authorization for automatic deduction by Yudo Smart remains in effect. Unless otherwise stipulated by laws and regulations, Yudo Smart will not refund any fees paid by the member in any way.
• 2.4 When enjoying this service, members should be bound by the terms of the "Cloud Service Purchase Agreement," "Privacy Policy," and "User Service Agreement," as well as all terms, related sub-agreements, page descriptions, or normative procedures. When a member uses this service, their usage is deemed as their agreement to the terms of this service and all types of announcements issued by Yudo Smart regarding this service. In case of conflict between this agreement and the "User Service Agreement" or "Cloud Service Purchase Agreement," this agreement shall prevail.
• 2.5 The services provided by Yudo Smart to members are limited to use on the Yudo Smart platform. Any act of maliciously cracking or using illegal means to separate the services provided by Yudo Smart from the Yudo Smart platform is not covered by the services defined in this agreement. The legal consequences arising from such actions are the responsibility of the individual, and Yudo Smart will pursue the legal responsibilities of the individual in accordance with the law.
• 3. Rights and Obligations of Both Parties
• 3.1 Yudo Smart is responsible for providing members with a way to inquire about the specific details of automatic renewal charges but is not responsible for printing related invoices and/or transferring the order to other member account.
• 3.2 Yudo Smart will send automatic renewal reminders to members via SMS or other means before the membership validity period is about to expire. If the fees for the next billing cycle are deducted from the member's aforementioned account, the deducted amount will be recorded in the member's payment records on the day of deduction, and the member's validity period will be extended accordingly. Once the deduction is successful, Yudo Smart has the right to collect the fee immediately and does not provide refund services.
• 3.3 In case of errors during the deduction process, Yudo Smart and the member should closely cooperate to identify the reasons. Each party will bear the losses caused by their own faults. If losses occur due to unequal faults on both sides, each party will bear corresponding responsibilities based on the severity level". If losses are incurred due to joint faults of both parties but cannot be distinguished, both parties will share the responsibility.
• 3.4 Yudo Smart may change or modify the relevant service content, rules, and terms of this agreement based on its business operations or technological upgrades. Yudo Smart will inform users of the relevant changes or modifications through announcements on the Jado Smart platform or by other appropriate means, without the obligation to provide the user individual notification. The above announcement is deemed delivered to the user from the date of Yudo Smart's sending. If there exist multiple notification methods, the delivery time is depending on the earliest sent method. If a member does not agree to the modifications of this agreement, they can cancel the services obtained and stop using them. If the member continues to use the services provided by Yudo Smart, it will be deemed that the member has accepted all modifications to this agreement.
• 3.5 Members have the choice to cancel or continue this service voluntarily. If a member chooses not to cancel, it is considered that the member agrees that Yudo Smart has the right to continue making periodic deduction attempts according to certain rules. Once the deduction is successful, Yudo Smart will activate the member service for the next billing cycle.
• 3.6 If there is a price adjustment for Yudo Smart services before or during automatic renewal, the current effective price displayed on the Yudo Smart platform at the time of deduction will apply.
• 3.7 Yudo Smart does not charge any additional fees for members to activate this service. However, Yudo Smart has the right to decide whether to charge for the service itself or adjust the automatic renewal cycle and fees based on business needs or market changes and will announce this to members on relevant pages.
• 3.8 If a member renews within the membership validity period, the validity period will be extended based on the original service's validity period.
• 3.9 Members understand and agree that authorizing Yudo Smart for direct debit authority will be considered as the member's own recharge behavior. If this results in any loss to the member, the member will not claim any rights or hold Yudo Smart and its affiliated companies responsible.
• 4. Period and Termination of the Agreement
• 4.1 This agreement becomes effective from the moment the member chooses to accept or use this service until the member terminates the service/cancels their membership, unless otherwise announced by Yudo Smart.
• 4.2 Members have the right to terminate this service at any time through the member account settings. After termination of the service, Yudo Smart will cease providing the service to the member.
• 4.3 Instructions previously given by the member to Yudo Smart for automatic renewal deductions, before choosing to terminate the service, still remain valid. Yudo Smart will not refund any fees already deducted based on those instructions, and the member will bear the related responsibilities and losses.
• 4.4 Yudo Smart reserves the right to suspend or terminate this service based on adjustments to its business operations, price changes, or other reasons. In the event of such circumstances, Jado Smart will notify members through announcements.
• 5. Liability for Breach of Contract
• If either party breaches the agreement, the non-breaching party has the right to seek compensation or damages through the breach resolution methods agreed upon by both parties.
• 6. Dispute Resolution and Applicable Law
• Yudo Smart and the member should resolve any disputes arising during the performance of this agreement through amicable negotiations. If the dispute cannot be resolved through negotiations, either party has the right to submit the dispute to the court in the jurisdiction where Shenzhen YUDO SMART Technology Co.,LTD. is located. The interpretation, validity, and execution of this agreement are subject to the laws of the People's Republic of China.

• If members have any questions or issues regarding this agreement or the use of Yudo Smart's automatic renewal services (including inquiries, complaints, etc.), please contact Yudo Smart at consumer@yudosmart.com. Yudo Smart will respond to members as soon as possible after receiving their feedback and suggestions.
